Terms of Service

These Terms of Service ("Terms") govern your use of flotillo.com and the Flotillo application (the "Service"), provided by PGP Construction Services LLC ("we," "us," "our"). By using the Service, you agree to these Terms. If you use the Service on behalf of a company, you confirm you have authority to accept these Terms for that company.

1. Early access

Flotillo is currently offered as an early-access product. Features may change, be added, or be removed, and the Service may occasionally be unavailable. We may limit, suspend, or end early access at any time. Any separate written agreement or order form between you and us takes priority over these Terms.

2. Accounts

You are responsible for keeping your sign-in details secure and for all activity under your account. Tell us promptly at admin@flotillo.com if you suspect unauthorized access.

3. Your data

• You keep all rights to the schedule files, updates, and other content you upload or enter ("Your Data").
• You give us permission to host, process, and display Your Data only as needed to provide and improve the Service for you.
• We do not use Your Data to train AI models, and our AI provider is not permitted to use it for training either.
• You confirm you have the right to upload Your Data and that doing so does not break any contract or law.
• Flotillo does not modify your original P6 files. You are responsible for reviewing any exported changes before importing them into P6 or any other system.

4. Acceptable use

You agree not to:

• Use the Service for anything unlawful or harmful
• Try to gain unauthorized access to the Service or other users' data
• Copy, reverse-engineer, resell, or build a competing product from the Service
• Interfere with the Service's security or performance, including through automated scraping or excessive requests

5. AI features and outputs

Some features use artificial intelligence to answer questions, analyze impacts, and draft reports. AI and automated schedule calculations can be incomplete or wrong. Flotillo is a decision-support tool, not a substitute for professional scheduling, engineering, legal, or contractual judgment. You are responsible for reviewing outputs before relying on them, sharing them with owners or lenders, or making project decisions.

6. Fees

Any fees for the Service will be agreed with you in writing before they apply.

7. Our intellectual property

We own the Service, including its software, design, and branding. These Terms do not give you any rights to them except the right to use the Service as described here. If you send us feedback or suggestions, we may use them without any obligation to you.

8. Ending use

You can stop using the Service at any time. We may suspend or end your access if you breach these Terms or if we discontinue the Service. After your access ends, you may ask us to return or delete Your Data within 30 days.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY SCHEDULE RESULT, FORECAST, OR REPORT WILL BE ACCURATE.

10. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, PROJECT DELAYS, LIQUIDATED DAMAGES, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100.

11. Indemnity

You agree to defend and hold us harmless from claims arising from Your Data or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in New Jersey, and you and we consent to the jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. If we make significant changes, we will notify you by email or through the Service. Continuing to use the Service after changes take effect means you accept them.
